Terms of Service
These Terms of Service (the “Terms”) form a binding agreement between you (“you” or “Customer”) and Shipeasy, Inc. (“Shipeasy”, “we”, or “us”) governing your access to and use of the Shipeasy platform, the website at shipeasy.ai, the documentation at docs.shipeasy.ai, the Shipeasy SDKs and CLI, and any related services (collectively, the “Service”). By creating an account, clicking “Sign in”, or using the Service in any way, you agree to these Terms. If you are accepting on behalf of an organisation, you represent that you have authority to bind that organisation, and “you” refers to that organisation.
1. The Service
Shipeasy provides a feature management and experimentation platform. The Service lets you create and evaluate feature gates, killswitches, configuration values, A/B experiments, and translation labels, collect related telemetry, and analyse results. The Service is delivered as software-as-a-service over the public internet and via Shipeasy’s client and server SDKs.
2. Accounts and eligibility
You must be at least 16 years old and capable of forming a binding contract to use the Service. You are responsible for keeping your credentials, API keys, and SDK keys confidential and for all activity that occurs under your account or project. Notify us at hi@shipeasy.ai as soon as you become aware of any unauthorised access. You may invite other users to your project; you remain responsible for their compliance with these Terms.
3. Plans, fees, and billing
The Service is offered on the plans described at shipeasy.ai/#pricing. Paid plans are billed in advance on a monthly or annual basis through our payment processor (Stripe). Fees are non-refundable except where required by law, and are exclusive of taxes that you are responsible for paying. We may change pricing on at least 30 days’ notice; changes apply at the start of your next billing period. Failure to pay may result in suspension or termination of paid features after a reasonable grace period.
The Free plan is offered at no charge and includes the usage limits documented at shipeasy.ai/#pricing. We may rate-limit, suspend, or remove free accounts at any time, with or without notice, for reasons including but not limited to abuse, inactivity, or operational cost.
4. Customer Data
“Customer Data” means all data, content, and information that you or your end users submit to the Service, including flag and experiment configuration, evaluation context attributes, tracked events, translation strings, and feedback submissions. As between you and Shipeasy, you own all rights in Customer Data.
You grant Shipeasy a worldwide, non-exclusive, royalty-free licence to host, process, transmit, display, and otherwise use Customer Data solely to provide and improve the Service, including aggregating evaluation events into experiment results, computing usage and billing metrics, and producing aggregate, anonymised statistics that do not identify you or your end users. We will not sell Customer Data and we will not use the contents of your Customer Data to train generative AI models without your prior written consent.
Our handling of personal data within Customer Data is governed by our Privacy Policy. You represent and warrant that you have all necessary rights, consents, and notices required to submit Customer Data to the Service.
5. Acceptable use
You agree that you will not:
- use the Service to send malware, ransomware, spyware, or other harmful code, or to attempt to compromise the integrity or security of the Service or any other system;
- reverse engineer, decompile, or attempt to derive the source code of any closed-source portion of the Service (the published Shipeasy SDKs are open source under their stated licences and are not subject to this restriction);
- use the Service to send unsolicited commercial messages, to facilitate fraud, or to violate applicable law;
- submit personal data of a child under the age of 13 (or under 16 in the EEA / UK) as Customer Data;
- benchmark the Service or publish performance data without our prior written consent, except to the extent such restriction is unenforceable under applicable law; or
- resell, sublicense, or expose the Service as a hosted backend for a competing feature management product.
We may suspend or terminate access immediately and without notice if we reasonably determine that your use violates this section or threatens the security or stability of the Service.
6. Service availability and support
We work hard to keep the Service available and fast. Real-time status is published on the dashboard. We do not offer a contractual uptime SLA on the Free or Team plans; Enterprise plans may include a written SLA in a separate order form. Outside of any contractual SLA, the Service is provided on a commercially reasonable best-effort basis.
Support is provided via hi@shipeasy.ai during normal business hours (Monday to Friday, UTC). Enterprise customers may receive priority response targets as set out in their order form.
7. Intellectual property
The Service, including its software, documentation, designs, trademarks, and the shipeasy.ai brand, is and remains the property of Shipeasy and its licensors. Except for the limited right to use the Service granted in these Terms, no rights are transferred to you. Feedback you provide about the Service is non-confidential and may be used by us without obligation to you. The Shipeasy SDKs published to npm and other public package registries are licensed under their stated open-source licences, which apply independently of these Terms.
8. Suspension and termination
You may stop using the Service and delete your account at any time from the dashboard Settings page. We may suspend or terminate your account for material breach of these Terms (including non-payment), for prolonged inactivity, or if we reasonably believe continued use of the Service by you would expose us or other customers to legal or operational risk. We will provide reasonable notice and an opportunity to cure where feasible.
Upon termination: (i) your right to access the Service ends immediately; (ii) we will delete Customer Data within 30 days, except as required by law or pending audit; and (iii) any provisions of these Terms that by their nature should survive termination (intellectual property, indemnity, limitation of liability, governing law) will survive.
9. Disclaimers
Except as expressly stated in these Terms, the Service is provided “as is” and “as available”. Shipeasy and its licensors disclaim, to the maximum extent permitted by law, all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and that the Service will be uninterrupted or error-free. You are responsible for evaluating whether the Service is appropriate for your use case, including any safety-critical or regulated context.
10. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenues, goodwill, or data, arising out of or related to these Terms or the Service, even if advised of the possibility of such damages. Each party’s aggregate liability arising out of or related to these Terms will not exceed the greater of (a) the fees paid by you to Shipeasy in the twelve months preceding the event giving rise to the claim and (b) one hundred US dollars (USD 100). These limitations apply notwithstanding the failure of essential purpose of any limited remedy.
11. Indemnification
You will defend, indemnify, and hold harmless Shipeasy and its officers, directors, employees, and agents from and against any third-party claim arising out of (i) your use of the Service in breach of these Terms, (ii) Customer Data that infringes a third party’s rights or violates applicable law, or (iii) your violation of applicable law. We will promptly notify you of any such claim and reasonably cooperate, at your expense.
12. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. The state and federal courts located in New Castle County, Delaware have exclusive jurisdiction over any dispute arising out of or related to these Terms, and you consent to the personal jurisdiction of those courts. The UN Convention on Contracts for the International Sale of Goods does not apply.
13. Changes to these Terms
We may update these Terms from time to time. Material changes will be announced at least 30 days in advance by email to the address on your account and/or via an in-product notice. Continued use of the Service after the effective date of the updated Terms constitutes acceptance. If you do not agree to the change, your sole remedy is to stop using the Service before the change takes effect.
14. Miscellaneous
These Terms (together with the Privacy Policy and any order form for paid plans) are the entire agreement between you and Shipeasy regarding the Service and supersede any prior agreements on this subject. If any provision is held unenforceable, the remaining provisions will remain in full force. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign these Terms to a successor in connection with a merger, acquisition, or sale of substantially all of our assets. Notices to Shipeasy must be sent to hi@shipeasy.ai; notices to you may be delivered by email to the address on your account.
